1. Agreement to Terms

These Terms of Service ("Terms") are a legally binding agreement between you (whether personally or on behalf of an entity) and RODMENA LIMITED (company number 16472788) ("Company", "we", "us", "our") concerning your access to and use of our website, software and services.

By accessing or using our services you agree to be bound by these Terms. If you disagree with any part of them, you must discontinue use of our services.

2. Disclaimer of Warranties

ALL SOFTWARE, SERVICES AND CONTENT PROVIDED BY RODMENA LIMITED ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We specifically disclaim all warranties including, but not limited to:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability or completeness
• Security or error-free operation
• Compatibility with your systems
• Meeting your requirements or expectations

3. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RODMENA LIMITED SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential or punitive damages
• Loss of profits, data, use, goodwill or other intangible losses
• Damages relating to your access to or use of (or inability to access or use) our services
• Any conduct or content of any third party
• Any content obtained from our services
• Unauthorised access, use or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR £100 GBP, WHICHEVER IS LESS.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the law of England and Wales, including liability for death or personal injury caused by negligence, or for fraud.

4. Indemnification

You agree to indemnify, defend and hold harmless RODMENA LIMITED, its officers, directors, employees, agents and affiliates from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to:

• Your use or misuse of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit, post or transmit through our services
• Your violation of any applicable laws or regulations

5. Free Software and Services

Where we provide free software, tools or services (including open-source projects), you acknowledge that:

• No support, maintenance or updates are guaranteed
• We may discontinue or modify them at any time without notice
• Open-source projects are governed by their published licences; where no licence applies, they are provided for evaluation or personal use only
• You assume all risks associated with their use

6. Intellectual Property

All intellectual property rights in our services — including software, content, trademarks and trade secrets — remain with RODMENA LIMITED or our licensors. These Terms do not grant you any rights to our intellectual property except as expressly set out here or in an applicable open-source licence.

7. User Responsibilities

You agree not to:

• Use our services for any illegal or unauthorised purpose
• Violate any laws in your jurisdiction
• Transmit any malicious code, viruses or destructive content
• Attempt to gain unauthorised access to our systems (see our responsible disclosure policy for good-faith security research)
• Interfere with or disrupt our services or servers
• Reverse engineer, decompile or disassemble our proprietary software
• Remove any proprietary notices or labels

8. Business-to-Business and Paid Software

For B2B customers and paid software licences: these general Terms are superseded by the specific terms of your signed contract or licence agreement with RODMENA LIMITED. In case of any conflict, your contract prevails.

Enterprise agreements, service-level agreements (SLAs) and custom licensing terms are negotiated separately and govern the relationship for paid services.

9. Termination

We reserve the right to terminate or suspend your access to our free services immediately, without prior notice or liability, if you breach these Terms. Termination of paid services is governed by your contract.

10. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the law of England and Wales. Any disputes arising from these Terms or your use of our services are subject to the exclusive jurisdiction of the courts of England and Wales.

11. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labour or materials.

12. Data Processing

Your use of our services is also governed by our Privacy Policy. Where we process personal data on your behalf under a contract, our Data Processing Agreement applies.

13. Modifications to Terms

We may modify these Terms at any time. Material changes will be reflected in the effective date at the top of this page. Your continued use of our services after modifications indicates acceptance of the updated Terms.

14. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force and effect.

15. Entire Agreement

These Terms constitute the entire agreement between you and RODMENA LIMITED regarding our free services and supersede all prior agreements and understandings. For paid services, your signed contract is the entire agreement.

16. No Waiver

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
